QUOTATIONS AND ACCEPTANCES
Quotations are valid for thirty (30) days after issuance. Quotations are subject to prior sale or other disposition. Proposals and acceptances of orders are made with the mutual understanding that orders are not subject to cancellation without seller's written consent. Care is taken to provide reliable descriptions and specifications, but their accuracy is not guaranteed and the buyer is advised to check vital details. The seller reserves the right to correct typographical errors.

PRICES
Prices are F.O.B. Rockford, Illinois unless otherwise noted, and are exclusive of Federal, State, or Local taxes. In addition to the purchase price, the buyer is responsible for any applicable sales taxes.

INDEMNIFICATION
Buyer agrees to indemnify and hold seller harmless from any and all liability, loss, or damages that seller may suffer as a result of claims, demands. Costs, or judgments made against seller arising out of any use whatsoever of the machinery and equipment sold pursuant to this agreement which liability, loss or damages, claims, demands or judgments are based upon or result from (1) the failure of the buyer, buyer's officers, agents or employees to follow manufacturer's instructions, warnings, or recommendations; or (2) the failure of buyer, buyer's officers, agents or employees to comply with federal, state, or local laws or regulations applicable to the use of such machinery and equipment, including, but not limited to, 1970 occupational safety and health act as amended; or (3) any liability, loss or damage, claims, demands, costs or judgments based upon or resulting from any negligence or alleged negligence of seller or seller's officers, agents or employees in the sale of this machinery and equipment that is the subject of this agreement; or (4) liability, loss or damage, claims, demands, costs or judgments based upon or resulting from all legal theory of strict liability or liability without fault applied to buyer or to seller or to the original manufacturer of the subject machinery and equipment or to any party who sold such machinery or equipment to seller; or (5) liability, loss or damages, claims, demands, costs or judgments based upon or resulting from any theory of breach of warranty of any kind.

TERMS
Thirty (30) percent with order, payment in full prior to shipment. It is understood that there are no conditions or agreements pertaining to this equipment other than as set forth in this written proposal, and that all prior conversations, agreements, or representations are hereby superseded. There are no warranties express or implied, including warranties of merchantability and fitness for any particular purposes whatsoever Seller will accept within thirty (30) days of shipment any machinery and equipment sold with a return privilege, freight prepaid, for refund of purchase price if proven mechanically unsatisfactory, or repair at seller's option. There are no representations or warranties by the seller that machinery or equipment sold hereunder complies with requirements of Federal, State, and Local laws and industrial codes. Buyer acknowledges that machinery covered by this quotation is USED machinery which was neither designed nor manufactured by the seller, and that the seller does not know of buyer's specific application for this equipment. Buyer in purchasing this equipment agrees that upon receipt of machinery subject to this agreement that it will be the buyer's duty to inspect all machinery on a continuing basis; to provide proper safety devices and equipment or means necessary to safeguard the operator and others from harm for any particular use, operation, or set-up of machines; to adequately safeguard each machine or equipment to meet all government safety standards which may be imposed from time to time, including but not limited to, 1970 Occupational Safety and Health Act as amended.
